Stage 0 — Make the company investable
Verify or restore the corporate entity, reconcile all existing shares and obligations, identify the IP available to the company, define founder services, and choose the lawful financing route. Build a diligence package before soliciting or accepting subscriptions.
Stage 1 — A bounded engineering programme
A suggested first financing target for discussion is CAD $250,000 gross: 25,000 shares at the proposed $10 price. Alongside 510,000 founder shares, investors collectively would hold approximately 4.67% of 535,000 issued shares at that closing. The final minimum closing amount and detailed operating runway have not been approved.
| Illustrative allocation | Share of gross raise | CAD |
|---|---|---|
| Electronics engineering, prototypes and technical contractors | 40% | $100,000 |
| Disclosed founder R&D compensation | 25% | $62,500 |
| Corporate, securities, IP and accounting work | 15% | $37,500 |
| Independent testing and customer/partner validation | 10% | $25,000 |
| Contingency and operating reserve | 10% | $25,000 |
| Total | 100% | $250,000 |
These are planning assumptions, not quoted costs or an adopted budget. Transaction expenses must be included within the appropriate line; net spend available for technical work will be lower than gross proceeds. Material budget changes and related-party payments should be disclosed and approved under the final governance arrangements.
Suggested first programme: electronics
Define and review
Confirm the company’s rights to the chosen design, freeze a bounded specification, and commission an electrical design review.
Build and measure
Produce a reproducible prototype and record power, communications, memory, and display behaviour against agreed test criteria.
Validate a use case
Obtain structured user or industrial feedback and assess safety, standards, manufacturing cost, and required certification.
Decide on the next tranche
Continue, change scope, partner, license, or stop based on results and cash requirements.
Stage 2 — Selective research expansion
Titanium processing would first require a small, independently designed experiment with phase identification and energy accounting. Biological software would require evidence-labelled parameters and validation of any quantitative claims. Physics funding should initially support a narrow mathematical benchmark, not assume an investable breakthrough.
Commercialisation paths to investigate
Product sales, contracted development, licensing, and IP transactions are possible routes only where ownership, technical results, and customer demand support them. No revenue forecast, exit timetable, patent grant, or investment return is promised.
Funding alternatives
Evaluate paid development work, strategic partners, applicable research programmes, and grants alongside equity so that each milestone does not automatically require further dilution.
